Welcome to Auxiliar!
These Terms of Service (“Terms”) govern access to and use of auxiliar.ai — our web-access API gateway, available at auxiliar.ai and through the API endpoint at api.auxiliar.ai (the “Service” or “Platform”).
The Service is operated and maintained by DUNAS DESENVOLVIMENTO DE SOFTWARE LTDA, CNPJ 64.717.332/0001-74, with registered office at Av. Paulista 1636, Conj 4, Pavmto 15, Sala 1504, São Paulo, SP 01310-200, Brazil (“Auxiliar”, “we” or “us”).
By accessing, browsing, creating an account or using any feature of the Service, you (“User” or “you”) declare that you have read, understood and fully agreed to these Terms and to the Privacy Policy. If you do not agree with any provision of these Terms or of the Privacy Policy, you must not use the Service. Continued use of the Service after the publication of updates will be interpreted as full acceptance of the Terms then in force.
1. The Auxiliar Service
The Service is a web-access API gateway. It provides a single API key and a unified endpoint that proxies your requests to many independent, third-party search, scraping, browser-automation and voice APIs (each, an “Upstream Provider”). Auxiliar injects the Upstream Provider credentials server-side — so you never handle them — and meters your usage as credits against your account.
Auxiliar acts solely as an intermediary and infrastructure provider. The services, results and content delivered by the Upstream Providers are produced by them and by the underlying sources (for example, the search engines queried, the websites scraped, or the voice models invoked), not by Auxiliar. We do not control, endorse, verify or guarantee Upstream Provider results.
RESULTS AND CONTENT RETURNED THROUGH THE GATEWAY ORIGINATE FROM THIRD-PARTY UPSTREAM PROVIDERS AND UNDERLYING SOURCES. THEY MAY BE INACCURATE, INCOMPLETE, OUTDATED, BIASED OR SUBJECT TO THIRD-PARTY RIGHTS, AND ARE PROVIDED WITHOUT ANY GUARANTEE OF ACCURACY, COMPLETENESS, AVAILABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THEY DO NOT CONSTITUTE PROFESSIONAL ADVICE. YOUR USE OF THE SERVICE AND OF ANY RESULTS IS AT YOUR OWN RISK.
Auxiliar provides the technological infrastructure only, without assuming any obligation of result, direct supervision, guarantee of full availability, continuous delivery of specific features, or provision of professional recommendations.
Available capabilities
Through the Service you may, among other things, access the integrated Upstream Providers across these capability groups:
- Search — web, news, places, images and other search-engine results.
- Scraping & Crawling — fetching and extracting content from web pages and sites.
- Browser Automation — programmatic browsing and page interaction.
- Voice & Audio — text-to-speech and related voice APIs.
Each provider’s native API, parameters and responses are passed through. The list of available providers is published at auxiliar.ai/tools and may change over time.
2. Use of the Service
You agree to use the Service ethically, diligently and in compliance with applicable law, with these Terms, and with the terms, policies and access conditions of both the Upstream Providers and the websites, services and data sources you reach through the Service.
You are solely responsible for the requests you make through the Service and for ensuring that you have all rights, authorizations and lawful bases necessary to make them — including to access, search, scrape, store and use the target content and data, and to process any personal data contained in your requests or results.
You may not use the Service for fraudulent, abusive, unlawful, malicious or deceptive purposes, nor to:
- access, scrape, crawl or collect content or data that you are not authorized to access, or in violation of a website’s or service’s terms, access controls or technical protections;
- circumvent, disable or interfere with security, authentication, rate-limiting or access-control mechanisms, whether of the Service, of an Upstream Provider, or of a target site;
- impose an unreasonable or disproportionate load on, or attempt to disrupt, the Service, an Upstream Provider or any target site (including denial-of-service techniques);
- infringe intellectual property, privacy, confidentiality or any other third-party rights;
- transmit malware, spam, phishing or carry out fraud; or harass, threaten, discriminate against, or promote violence against, any person;
- generate or distribute deepfakes, disinformation or any content that violates the law;
- reverse engineer, resell, sublicense or otherwise exploit the Service, or use it to build or operate a competing API gateway or aggregation product; or
- violate any Upstream Provider’s terms or any applicable data-protection law.
Auxiliar may monitor and log activity where necessary for security, fraud prevention, billing, proper operation of the Service and compliance with legal obligations, with due respect for data-protection law. Breach of this section may result in the suspension, limitation, blocking or definitive termination of your account, without prejudice to applicable legal measures.
3. Registration and Eligibility
Requirements
To use the Service, you must:
- be 18 years of age or older and have full legal capacity;
- have a compatible environment and internet access;
- provide true, complete and up-to-date information at registration; and
- expressly accept these Terms and the Privacy Policy.
Commercial use is permitted. You may use the Service for personal and commercial purposes, including within your own applications, products and AI agents, subject to these Terms, the Upstream Providers’ terms and applicable law.
Account creation and management
Your registration is personal to you or to the organization you represent. You are fully responsible for: (i) the information provided at registration; (ii) keeping your data up to date; (iii) safeguarding your access credentials; and (iv) ensuring that unauthorized third parties do not use your account. Auxiliar may request identity verification, data confirmation or additional authentication steps, including periodically.
API keys and credentials
The Service is accessed using API key(s) issued to your account. You are responsible for keeping your API key(s) confidential. Any use of the Service — and any credits consumed — under your API key is presumed to have been made by you and is your responsibility, except as otherwise required by law. Treat your keys as secrets, do not embed them in client-side or public code, and rotate or revoke them through your dashboard if you suspect they have been compromised. Auxiliar is not responsible for losses arising from leaked, shared or misused keys.
Refusal, suspension or blocking of accounts
Auxiliar may, at its sole discretion, refuse, suspend, limit features of, block or terminate accounts in the following cases: (i) provision of false, incomplete or misleading information; (ii) indications of fraud, misuse or violation of the law or of these Terms; (iii) abusive or harmful behavior; (iv) compromise of the security, integrity or stability of the Service; or (v) use of the account for unlawful, unauthorized purposes or contrary to Auxiliar’s policies. Suspension or termination may occur with or without prior notice, depending on the severity of the conduct and the risks involved.
Account deletion by the User
You may request the deletion of your account at any time through the official channels available. Deletion of the account terminates your access to the Service, without prejudice to Auxiliar’s retention of minimum records required by law or necessary to comply with legal obligations, audits, security or defense of rights.
4. Credits, Billing and Payments
The Service is credit-metered. Use of the Service consumes prepaid credits from your account balance. There are no mandatory subscriptions — you pay for the usage you make through credits, as described in your dashboard and documentation.
- Pricing — the price (in credits) for each Upstream Provider and endpoint is shown in the dashboard and/or documentation and may be updated from time to time, prospectively, with notice through official channels.
- Payments — credit purchases are processed by our third-party payment processor (Stripe). By purchasing credits, you also agree to the payment processor’s terms. We do not store full payment card data.
- Credits — credits have no cash value, are intended solely for use within the Service, and are non-refundable except where otherwise required by law or expressly stated in an applicable policy. Credits may be subject to expiry where stated.
- Taxes — you are responsible for any taxes applicable to your purchases, except for taxes based on Auxiliar’s net income.
- Failed or disputed payments — Auxiliar may suspend or limit access where a payment fails, is reversed or is disputed.
5. Upstream Providers and Third-Party Services
The Service routes your requests to Upstream Providers. Your use of each capability is also subject to the relevant Upstream Provider’s terms and to the rights of the underlying content and data sources.
You authorize Auxiliar to transmit your request content to the relevant Upstream Provider in order to fulfill your requests, and to inject the necessary Upstream Provider credentials server-side.
Auxiliar may add, change, deprecate, suspend or remove Upstream Providers, endpoints or features at any time, and does not guarantee that any particular Upstream Provider will remain available. Outages, errors, changes, rate limits or restrictions imposed by Upstream Providers or underlying sources are outside Auxiliar’s control, and the availability and quality of results depend on them.
6. Modifications, Availability and Commercial Conditions
Auxiliar may, at any time, modify, adjust, improve, update, replace, limit, suspend or discontinue features, Upstream Providers, endpoints, interfaces, operational flows and any elements of the Service. Substantial changes may be communicated through official channels.
Auxiliar does not guarantee that all features will remain continuously or permanently available, nor that the Service will be compatible with any particular system, network or configuration. Auxiliar may temporarily interrupt the Service for maintenance, updates, corrections or security reasons, without this giving rise to any right to compensation.
7. User Obligations
You agree to use the Service responsibly, ethically and in compliance with these Terms, committing to:
- use the Service only for lawful purposes, refraining from any conduct that violates the law, these Terms or third-party rights;
- ensure you hold the rights, authorizations and lawful bases necessary for your requests, including to access, scrape and use target content and to process any personal data involved;
- provide true, complete and up-to-date information at registration, without impersonating any person, entity or fictitious identity;
- keep your access credentials and API keys confidential and secure, being responsible for all activity carried out through your account;
- respect the terms, policies and technical protections of the Upstream Providers and of the websites and services you reach through the Service;
- refrain from sending abusive, discriminatory, offensive, unlawful, threatening, fraudulent, misleading or violent content;
- refrain from reverse engineering, intercepting, exploiting vulnerabilities, or any unauthorized technical use of the Service; and
- refrain from using the Service to build, train or operate a competing API gateway or aggregation product without Auxiliar’s express written authorization.
Breach of the above obligations may result, depending on its severity, in a warning, feature limitation, suspension, blocking or definitive termination of the account, in addition to applicable administrative, civil and criminal measures.
8. Auxiliar’s Obligations
Auxiliar undertakes to:
- operate the Service with reasonable standards of security, stability and availability;
- adopt technical and organizational measures appropriate to the protection of personal data, in accordance with the Privacy Policy and applicable law;
- preserve the confidentiality of the request content routed through the Service, only disclosing it under a valid court order or request from a competent authority;
- provide clear information about the characteristics, limitations and conditions of use of the Service, including its gateway nature and the absence of end-to-end encryption between you and the Upstream Providers;
- use its best efforts to prevent and mitigate abuse, fraud and security breaches; and
- comply with applicable legal and regulatory requirements and orders from competent authorities.
9. Limitation of Liability
The Service is provided “as is” and “as available”, without express or implied warranties as to suitability, reliability, accuracy, availability, interoperability or absence of defects. Auxiliar will use reasonable efforts to keep the Service secure, stable and operational, but does not guarantee uninterrupted, error-free operation.
Auxiliar is not liable for direct or indirect damages arising from the use of, or inability to use, the Service, including, without limitation, loss of data, lost profits, lost opportunities, financial losses, operational interruptions, or decisions made on the basis of results obtained from Upstream Providers.
Auxiliar is not responsible for connection failures, internet interruptions, unavailability or changes of third-party services and Upstream Providers, malicious attacks, security incidents, or failures of your own hardware or software.
You will be fully responsible for any damage you cause to Auxiliar, to other Users or to third parties, and you agree to indemnify, defend and hold Auxiliar harmless from claims, losses, damages, fines, costs and expenses arising from your breach of these Terms, misuse of the Service (including unauthorized access, scraping or data processing) or non-compliance with applicable law.
To the maximum extent permitted by applicable law, Auxiliar’s total liability, regardless of cause, legal basis or number of related incidents, is limited to the total amounts you paid to Auxiliar in the 12 (twelve) months preceding the event giving rise to the claim. Nothing in these Terms is intended to limit rights that cannot lawfully be limited.
10. Intellectual Property
Ownership of the Platform
All rights related to the Platform — including, without limitation, software, source code, the gateway and routing logic, APIs, databases, designs, interfaces, trademarks, logos, the evaluation methodology and content published in the tools catalog, and any other intangible assets — are the exclusive property of Auxiliar or its licensors.
Limited license to use the Service
Subject to these Terms and payment of the applicable credits, Auxiliar grants you a limited, revocable, non-exclusive and non-transferable license to use the Service — including for commercial purposes within your own applications, products and AI agents. No intellectual property rights in the Platform are transferred to you.
Your content
The content you submit through the Service, including queries, URLs, prompts and other inputs, remains yours. By using the Service, you grant Auxiliar a limited, worldwide, royalty-free license to host, process, transmit and route that content to the relevant Upstream Provider and to use it as necessary to operate, secure, audit and improve the Service, in accordance with the Privacy Policy and applicable law. Auxiliar does not use the content of your requests to train AI models.
Results and outputs
Results, responses and content returned through the gateway originate from the Upstream Providers and the underlying sources. Auxiliar claims no ownership over those results. As between you and Auxiliar, you may use the results you obtain, subject to these Terms, to the relevant Upstream Provider’s terms, and to the rights of the underlying content and data owners (including, where applicable, copyright in scraped content). You are responsible for ensuring that your use of any results complies with those terms and with applicable law.
11. Confidentiality
You may have access to non-public information about the Platform, including technical information, operational flows, methods, parameters, security measures, non-public features and other materials reasonably understood to be confidential (“Confidential Information”). You agree not to disclose, reproduce or use Confidential Information for any purpose other than the authorized use of the Service, except where the information: (i) is or becomes public without breach of these Terms; (ii) was already lawfully known to you; (iii) is lawfully provided by a third party; or (iv) must be disclosed by legal, judicial or regulatory determination.
12. Data Protection
Auxiliar processes personal data in accordance with applicable law, including the Brazilian General Data Protection Law (LGPD), and with the Privacy Policy. Auxiliar processes the data necessary to enable use of the Service, route requests to Upstream Providers, meter and bill usage, ensure security, prevent fraud and comply with legal obligations.
Because the operation of the gateway requires routing your request content to the Upstream Providers, the Service does not use end-to-end encryption between you and the Upstream Providers, a characteristic you acknowledge. Where your requests or results contain personal data, you are responsible for having a lawful basis for that processing and for complying with applicable data-protection law in your use of the Service.
13. General Provisions
Partial invalidity
If any provision of these Terms is held invalid, illegal or unenforceable, in whole or in part, the remaining provisions will remain valid, effective and fully applicable.
No waiver
Tolerance or non-exercise by either party of rights under these Terms will not constitute waiver, novation or amendment, and such rights may be exercised at any time.
Assignment
You may not assign, transfer or sublicense your account or the rights under these Terms. Auxiliar may assign or transfer these Terms, in whole or in part, to affiliates, parent or successor companies, business partners or companies of the same economic group, regardless of prior notice.
Communications
Official communications between Auxiliar and you may take place through the Service, the email address registered to your account, dashboard notifications or other official channels, which will be considered valid for all purposes.
Changes to the Terms
Auxiliar may modify these Terms at any time. Changes take effect on the date they are published. Continued use of the Service after an update constitutes full acceptance of the new version.
Survival
Provisions concerning confidentiality, intellectual property, liability, limitation of liability, data protection and any other obligations that by their nature should persist will survive the termination of your account or the discontinuation of your use of the Service.
Governing law and venue
These Terms are governed exclusively by the laws of the Federative Republic of Brazil. The courts of the District (Comarca) of São Paulo/SP are elected as the competent venue, to the exclusion of any other, to resolve disputes arising from these Terms or from the use of the Service.
